Mergers and acquisitions: We represent clients in all aspects of these transactions, including drafting and negotiating agreements, due diligence, advising on regulatory compliance, reviewing and preparing closing documentation, and conducting closings.
Buyouts and transfers: We work with clients to plan for structure and complete ownership transfers, including in the context of buyouts in closely held businesses and business successions in family-owned companies. We also assist clients in the enforcement of buy-sell and similar ownership agreements, the resolution of business disputes, and the carrying out of business dissolutions.
Financing: We review, negotiate and prepare financing and lending agreements and documentation related to business and real property acquisitions, including loan agreements, promissory notes, debt instruments, mortgages, security agreements and UCC financing statements. Capital raising and securities: We advise clients seeking to raise capital for both new and existing businesses. We assist clients in the process of both debt and equity securities offerings, including the preparation of offering documentation as well as regulatory filings and notices.
Real estate transactions and leasing: We counsel and represent clients with respect to all stages and various types of commercial real estate transactions, including both sale and purchase transactions, seller-financing and sale-leaseback transactions, and tax-deferred property exchanges. We also review, draft and negotiate commercial leases on behalf of landlords and tenants.
